Management Board
The Management Board of the Company legally reports to the General Meeting of shareholders, and functionally reports to the Board of Directors of Integra Group. The management Board manages current activity to ensure that the Group's goals and strategies are implemented. The activities of the Management Board are regulated by the Regulations of the Management Board of the Company.

Authority
Authority to consent to the matters to be recommended to the Board of Directors of Integra Group for approval:
- consent to the Company's mission and strategy;
- consent to five-year and annual business plans, corporate contracts entered into by the Company, annual and internal reports, profit allocations, and dividend distributions;
- consent to decisions on participation / withdrawal from other entities, decisions relating to mergers and acquisitions;
- consent to decisions on disposal of shares / equities / assets in excess of 10 million USD;
- consent to transactions (regardless of the level of materiality) in which there is interest on part of any employee of the subsidiary or the Company;
- consent to a list of employees authorized to make public statements on behalf of the Company (including statements on financial matters);
- consent to bonus schemes to reward the Company's employees.
Authority to approve:
- action plans relating to amendment of the Group's corporate structure;
- proposals to amend the Company's governance structure, including decisions for the institution of special-purpose committees within the Company, approval of their statues of authorities, approval of composition and members of committees within the Management Board, deciding on appointment of candidates for the office of Chairman of such committees; assess and control the activities of special-purpose committees of the Company (except for the activities of Corporate Investment Committee which are subject to monitoring);
- voting instructions to vote at General Meetings of shareholders (participants, members) of the Group Members;
- operating contracts entered into by Divisions and Business Units, review and assessment of results of the Group's business activities;
- programs to enhance the financial standing of the Group;
- decisions on appointments of managing directors of the Group Members; and
- corporate regulatory and methodological documents of the Group.
Responsibilities
The members of the Management Board have the following responsibilities:
- act to the benefit and in the best interests of the Group in strict compliance with the internal documents regulating the activities of the Group;
- report on the fulfillment of the instructions received; and
- strictly comply with business ethics requirements.
